This Community License Agreement ("Agreement") is between Absorb.dev LLC ("Absorb") and the person or organization that requests a Community license, downloads the Community edition, or uses it ("you"). It governs the free Community edition of Absorb. By requesting a Community license or using the Community edition, you agree to this Agreement. If you accept for an organization, you confirm you are authorized to bind it.
1. Definitions
- Community edition: the Absorb binaries and container images that Absorb publishes as the Community build, in object code, with any updates Absorb makes available to Community users.
- Community license: the signed license file Absorb issues to you for the Community edition.
- Production API: one distinct upstream API, identified by its OpenAPI specification, that the Community edition exposes to AI agents in production. An API marked staging, development, or test in the configuration and used only for non-production purposes is not a Production API.
- Report: the diff output or HTML review report the Community edition produces.
2. License
- Grant. While your Community license is valid, Absorb grants you a free, non-exclusive, non-transferable, non-sublicensable license to install and use the Community edition in your own infrastructure, for your internal business purposes, with one Production API and any number of non-production APIs.
- Term. Each Community license lasts 12 months. You may request a new one at no charge before it expires.
- Users. Your employees and contractors may use the Community edition for you. You are responsible for their compliance.
3. Restrictions
You will not, and will not allow anyone to:
- Use more than one Production API, including by running several instances or obtaining several Community licenses to multiply the limit.
- Tamper with, bypass, or disable the license checks, the Community license, or the Report watermark.
- Reverse engineer, decompile, or disassemble the Community edition, except where the law permits it despite this restriction.
- Sell, sublicense, rent, redistribute, or publish the Community edition or your Community license.
- Offer the Community edition to third parties as a hosted or managed service.
- Use the Community edition to build a competing product.
- Present a Report as a security assessment or certification by Absorb.
- Use the Community edition in breach of the Acceptable Use Policy or applicable law.
4. Reports
You may use Reports internally and share them with your advisers and auditors. Reports carry a Community Edition watermark, which must remain.
5. Your information
To issue a Community license, we collect your name, work email, and organization. Our Privacy Policy explains how we handle it. The Community edition runs in your infrastructure and sends no telemetry or API data to Absorb. Please do not send us logs or data from your deployment.
6. No support or service commitments
The Community edition includes no support, response targets, warranties, indemnities, or security documentation. Absorb may publish updates, answer questions, or fix defects at its discretion. Paid editions with those commitments are available under the Master Software License and Services Agreement.
7. Upgrades
Moving to a paid edition requires an Order Form under the Master Software License and Services Agreement. Your configuration and policies carry over unchanged.
8. Ownership and feedback
Absorb and its licensors own the Community edition and all related intellectual property. You own your policies, configurations, and data. Absorb may use your feedback without restriction. No rights are granted except those expressly stated.
9. Changes and discontinuation
Absorb may change this Agreement or the Community edition's limits for Community licenses issued after the change. Absorb may stop offering the Community edition or new Community licenses with 90 days' notice on absorb.dev. Licenses already issued remain valid until they expire.
10. Termination
This Agreement ends when your Community license expires without renewal, or automatically if you breach Section 3. You may end it at any time by stopping use. On termination, you will stop using the Community edition and delete it and your Community license. Sections 3, 4, 8, and 11 to 14 survive.
11. Disclaimer
THE COMMUNITY EDITION IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, ABSORB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ABSORB DOES NOT WARRANT THAT THE COMMUNITY EDITION WILL PREVENT ALL UNAUTHORIZED AGENT ACTIONS, OR THAT AI AGENT OR MODEL OUTPUTS WILL BE ACCURATE, SAFE, OR LAWFUL.
12. Your indemnity
You will defend Absorb against any third-party claim arising from your APIs, data, AI agents, or their actions, or your use of the Community edition in breach of this Agreement or law, and will pay damages and costs finally awarded or agreed in settlement.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ABSORB WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR DATA. ABSORB'S TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED US$100.
14. General
- Governing law. This Agreement is governed by the laws of the State of Delaware, excluding conflict of laws rules. The state and federal courts in Delaware have exclusive jurisdiction. The UN Convention on Contracts for the International Sale of Goods does not apply.
- Export. You will comply with U.S. and other applicable export control and sanctions laws, and will not use or export the Community edition in or to an embargoed country or for a prohibited person or end use.
- Government use. The Community edition is commercial computer software. U.S. government rights are limited to those in this Agreement, under FAR 12.212 and DFARS 227.7202.
- Assignment. You may not assign this Agreement. Absorb may assign it to an affiliate or successor.
- Notices. Absorb may give notice by email to the address on your Community license or by posting on absorb.dev. Notices to Absorb go to [email protected].
- Entire agreement. This Agreement and the Acceptable Use Policy are the entire agreement about the Community edition. If a provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver.
