These Online Subscription Terms apply when an organization buys an Absorb subscription online at absorb.dev/buy. They supplement the Master Software License and Services Agreement ("Agreement") between Absorb.dev LLC ("Absorb") and the organization named at checkout ("Customer"). Capitalized terms not defined here have the meanings in the Agreement.
1. How these terms fit together
A completed online checkout is an Order Form under the Agreement. The Order Form consists of the edition, production API count, and add-ons selected at checkout, and the price shown there. These terms, the Agreement, and the Acceptable Use Policy govern the purchase. If these terms conflict with the Agreement, these terms control for online purchases.
2. Business use only
Online subscriptions are sold to organizations for business use. By checking out, you confirm that you are buying for an organization and are authorized to bind it.
3. Merchant of record
Dodo Payments is the merchant of record and reseller for online purchases. Dodo Payments processes the payment, calculates and collects applicable taxes, issues receipts and invoices, and appears on your statement. Its own terms govern payment processing. Absorb licenses the Software to Customer and remains responsible for the Software, Support, and the license.
4. What you get
- The Team edition covers 5 production APIs and the Business edition 25, plus any extra production APIs and packs selected at checkout.
- Absorb emails a sign-in link after payment. The account page provides the license file and the build for the edition. For Business, Absorb contacts Customer within one business day to set up shared Slack support, and provides the Data Processing Addendum for signature on request.
- Delivery occurs when the license file is available in the account.
5. Price and taxes
Prices are in U.S. dollars and exclude taxes. Dodo Payments adds any applicable taxes at checkout and on each renewal. A discount code applies only to the term and amount stated with it, and renewals are at the list price unless the code says otherwise.
6. Automatic renewal
- Each subscription term lasts one year from the date of payment.
- The subscription renews automatically for successive one-year terms at the then-current list price, charged to the payment method on file, until cancelled.
- Absorb emails a reminder between 15 and 45 days before each renewal, stating the renewal date and how to cancel.
- Absorb will announce any price increase at least 60 days before the renewal it applies to.
7. Cancellation
You can cancel at any time from the account page, under Manage billing and invoices, or by emailing [email protected]. Cancellation stops the next renewal and takes effect at the end of the current term. The current license keeps working until its expiry date.
8. Refunds
Fees are non-refundable, except as stated in Sections 13.3 and 16.3 of the Agreement or where the law requires a refund. Refunds are paid by Dodo Payments to the original payment method.
9. Changes during a term
Adding production APIs or packs takes effect when paid. Dodo Payments may prorate the charge for the rest of the term, and Absorb issues a new license. Removals take effect at the next renewal.
10. Failed payments
If a renewal payment fails, Dodo Payments may retry it and the subscription goes on hold. Absorb emails you, and the current license keeps working until its expiry date. If payment is not made by then, the subscription ends.
11. Licenses and true-up
Each license is valid until the next renewal date plus 30 days. Absorb never stops traffic over billing. Production APIs beyond the licensed count are settled at the next renewal at the edition's rate for extra APIs.
12. Support
Support is provided under the Support and Maintenance Policy at the level of the purchased edition.
13. Changes to these terms
Absorb may update these terms for future purchases and renewals by posting a new version with a new effective date. Material changes apply to an existing subscription only from its next renewal, and Absorb will email notice at least 30 days before that renewal.
